The Board of Directors of Sivers Semiconductors AB has resolved on a new issue of shares of series C and the repurchase and conversion of shares of series C
At the Extraordinary General Meeting of Sivers Semiconductors AB (the “Company”) held on 11 October 2024, it was resolved to authorise the Board of Directors, on one or several occasions during the period until the next Annual General Meeting, to resolve on a new issue of a maximum of 16,298,821 shares of series C. The Extraordinary General Meeting also resolved to authorise the Board of Directors, on one or several occasions during the period until the next Annual General Meeting, to resolve on the repurchase of shares of series C.
With the exercise of the authorisation described above, the Board of Directors has resolved on a new issue of 16,298,821 shares of series C.
Nordea Bank plc, filial i Sverige, has subscribed for all shares. The subscription price amounts to SEK 0.50 per share, which corresponds to the quota value of the shares. The Board has also decided to repurchase all 16,298,821 shares of series C for a price of SEK 0.50 per share and to convert 1,500,000 shares of series C into ordinary shares.
The purpose of the share issue and the repurchase of shares of series C is to ensure delivery of shares to participants under the Company's outstanding incentive program and to secure liquidity for payment of social contributions charges attributable to such incentive programs.
Shares of series C entitle the holder to one-tenth of a vote each and do not carry any right to dividends.
