Summary of Annual General Meeting of Pagero
Shareholders of Pagero Group AB (publ) have today, Thursday 11 May 2023, held an Annual General Meeting at Pagero’s office on Västra Hamngatan in Gothenburg.
The meeting adopted the profit and loss accounts and the balance sheets for the parent company and the Pagero group contained in the annual report.
The meeting decided that the result according to the adopted balance sheet for the company should be allocated in accordance with the board of directors’ proposal in the annual report.
The meeting granted the members of the board and the managing director a discharge from liability for the financial year 2022.
The meeting decided to award a remuneration of SEK 600,000 to the Chairman of the Board, SEK 325,000 to the Vice Chairman of the Board, and SEK 250,000 to the other Board members. For functions in the audit committee, a fee of SEK 50,000 was decided for the chairman of the committee and SEK 25,000 for the members. The company’s accountant shall be remunerated in accordance with approved invoice.
The meeting decided to re-elect board members Christian Melby, Bengt Nilsson, Mats Ryding, Karin Sandsjö, Birger Steen, Fredrik vom Hofe and Marianne Knudsen as board members. Öhrlings Pricewaterhouse Coopers AB, with Patrik Resebo as principal auditor, was elected auditor of the company.
The meeting decided to amend the instruction for the nominating committee in accordance with their proposal which is available on Pagero’s website.
