SATS ASA: Disclosure of shareholding

28 August 2024: AF III Holdco AS, controlled by Altor Fund III (“Altor”) has today sold 39,242,358 shares in SATS ASA (the “Company"), representing approximately 19.2% of the share capital and votes in the Company, at a price of NOK 18.00 per share for a total transaction size of approximately NOK 706 million (the “Transaction”).

Following completion of the Transaction, Altor no longer holds any shares in the Company, and Altor holds no rights to shares issued by the Company.
 
As part of the preparations for the Transaction, Altor informed TryghedsGruppen, the largest shareholder in the Company through TG Nordic Invest (holding 22.6% of the Company), of the potential sale of shares from Altor. TryghedsGruppen confirmed to Altor that they were not interested in selling shares at the current valuation, and that they have no current plans to sell shares in the Company during 2024.

ABG Sundal Collier ASA and Carnegie AS acted as joint bookrunners in connection with the Transaction.
