Resolutions of Annual General Meeting in SameSystem A/S
Company Announcement No. 4-2022
Copenhagen, 31 January 2022
The Annual General Meeting of SameSystem A/S took place on January 31, 2022, at SameSystem A/S, Rentemestervej 2A, 2400 København NV, in accordance with the agenda.
The board of directors elected Søren Elmann Ingerslev, attorney-at-law, as chairman of the meeting.
Henrik Salicath, CEO of SameSystem, accounted for the company's activities in the past year and the shareholders took note of the presentation. The audited annual report for FY2020/21 was submitted and approved by the General Meeting.
In regards to the appropriation of profits or covering losses appearing from the annual report, the General Meeting approved, in accordance with the adopted annual report and the board of directors’ proposal, that the result of the FY2020/21 is transferred to the next financial year and that no dividend is paid out.
Søren Ingerslev, Thomas à Porta and Hans Henrik Hoffmeyer were re-elected and Signe Trock Hilstrøm was elected as new member of the board.
The board of directors had proposed to amend the following articles of the company’s articles of association:
- Change of group language to English (articles 1.3, 5.18, and 9.2)
The proposals were approved by the General Meeting.
