Resolutions at the extraordinary general meeting in Scandi Standard AB (publ)
At the extraordinary general meeting in Scandi Standard today on 22 August 2022, it was resolved to the elect Paulo Gaspar as new board member in accordance with the nomination committee’s proposal.
The general meeting resolved to increase the number of board members to seven board members and elected Paulo Gaspar as new board member until the close of the next annual general meeting. The board of directors thus consists of Johan Bygge (chairman), Mike Parker, Öystein Engebretsen, Henrik Hjalmarsson, Cecilia Lannebo, Pia Gideon and Paulo Gaspar.
Paulo Gaspar is Chief of Innovation and Marketing at Lusiaves Group, which is Scandi Standard's second largest shareholder following its acquisition of more than 10% of the shares in the Company.
The general meeting also resolved on an annual board fee for Paulo Gaspar of SEK 360,000, to be reduced and paid out pro rata in relation to the period between the extraordinary general meeting and the annual general meeting 2023.
The general meeting was held without physical presence, and the shareholders had the opportunity to exercise their voting rights by post prior to the general meeting.
