Recalculation of warrants of series TO1 following rights issue

In accordance with the terms and conditions for warrants of series TO1, which were issued in connection with a rights issue of units in February 2024, the number of shares that each warrant entitles the holder to subscribe for and the subscription price shall be recalculated after rights issues. Accordingly, Metacon AB (publ) ("Metacon") has carried out a recalculation of warrants of series TO1 due to the rights issue of shares that was announced on 15 October 2024. Following the completed recalculation, Metacon can confirm that the number of shares each warrant of series TO1 entitles the holder to subscribe for and the method for determining the subscription price, remains unchanged. Thus, one warrant of series TO1 entitles the holder to subscribe for one share at a discount of 30 percent in accordance with the previously communicated terms and conditions for the warrants.
Summarized terms for warrants of series TO1
Each warrant of series TO 1 entitles the holder to subscribe for one (1) new share in the Company during the period 7 March 2025 up to and including 21 March 2025. The subscription price for subscription of shares with the support of warrants of series TO 1 will correspond to 70 percent of the volume-weighted average price in the Company's share during the period from and including 20 February 2025 up to and including 5 March 2025. However, the subscription price can at minimum amount to SEK 0.01 per share and at maximum amount to SEK 0.44 per share.

Example
In the event that the volume-weighted average price paid for the Company's share during the period from and including 20 February 2025 up to and including 5 March 2025 is determined to SEK 0.40, each warrant of series TO1 will entitle the holder to subscribe for one new share at a subscription price of SEK 0.28 per share during the period from and including 7 March 2025 up to and including 21 March 2025.
In the event that the volume-weighted average price paid for the Company's share during the period from and including 20 February 2025 up to and including 5 March 2025 is determined to SEK 0.88, each warrant of series TO1 will entitle the holder to subscribe for one new share at a subscription price of SEK 0.44 per share during the period from and including 7 March 2025 up to and including 21 March 2025.
The above are only examples to illustrate the method for determining the subscription price for warrants of series TO1. The final subscription price will be determined to 70 percent of the volume-weighted average price paid for the Company's share during the period from and including 20 February 2025 up to and including 5 March 2025, however, not less than SEK 0.01 per share and not more than SEK 0.44 per share.
