Grant of Warrants in SameSystem A/S.

The Board of Directors has today exercised part of its current authorisation by issuing a total of 200,000 new warrants to the chairman of the board, Leif Vestergaard, and 100,000 new warrants to board member Michael Holmberg Andersen.
Each warrant grants the holder the right to subscribe for one share of DKK 0.01 in the Company. The board of directors has, with reference to SameSystem’s article of association, fixed the exercise price at DKK 1.25 per share.
The warrants will be issued in two tranches: 50% on 1 September 2023, and 50% on 1 September 2024. The Warrants vest over 12 months with 1/12 each month, the first time at the month’s expiry following the Date of Issue, notably 30 September 2023 and 30 September 2024. Warrants that have not been exercised will expire automatically on 31 August 2028 and 31 August 2029 respectively. Warrants can be exercised over a period of four (4) weeks starting the day after the publication of the Company’s annual report or half-year report.
The warrants are issued in accordance with the Company's guidelines for incentive-based remuneration and the authorisation in section 4 of the Articles of Association.
After this grant of warrants, the total number of issued warrants is 5,812,180.
