Flagging notification in Katalysen Ventures AB (publ) following shareholder updates
As a result of a transaction between two of the company's shareholders that took place outside of public markets on 24 May 2022, and a directed new share issue that was decided on 24 May 2022, Katalysen Ventures AB (publ) (“Katalysen Ventures”) publishes two flagging notifications.
On 24 May 2022, Katalysen Ventures received information that M Homman AB (556738-2758) on 24 May 2022 sold shares in Katalysen Ventures AB (publ) outside the public market, which means that M Homman AB has passed below the flagging milestone of 5% ownership. The shares were sold to Hallmann Holding International Investment GmbH. The transaction means that H Homman AB continues to own approximately 210,000 shares as well as votes in the company, which corresponds to approximately 3.8% of the total number of shares in the company after the 24 May 2022 directed new share issue. Previously, M Homman AB owned approximately 360,000 shares in the company, which corresponds to approximately 6.5% of the total number of shares in the company after the 24 May 2022 directed new share issue.
In addition, yesterday (24 May 2022) Katalysen Ventures decided on and communicated a directed new share issue. Through the purchase of shares issued in this directed new share issue, as well as through the purchase of shares from M Homman AB (see above), Hallmann Holding International Investment GmbH will pass above the flagging milestone of 5% ownership. The directed new share issue and the purchase of shares from M Homman AB results in Hallmann Holding International Investment GmbH owning 512,000 shares as well as votes in the company, which corresponds to approximately 9.1% of the total number of shares in the company after the 24 May 2022 directed new share issue. Previously, Hallmann Holding International GmbH owned 112,000 shares as well as votes in the company, which corresponds to approximately 2.0% of the total number of shares in the company after the 24 May 2022 directed new share issue.
