Clean Industry Solutions Holding Europe AB (publ) publishes prospectus in connection with the rights issue

The Board of Directors of Clean Industry Solutions Holding Europe AB (publ) (“Clean Industry Solutions” or the ”Company”) today, on 8 September 2023, publishes an EU Growth Prospectus (the “Prospectus) in connection with the rights issue of shares announced on 31 August 2023 (the "Rights Issue"). The Prospectus has today been approved and registered by the Swedish Financial Supervisory Authority.

Clean Industry Solutions has noted an increased interest in the Company's solutions, largely due to the transition from gas to other energy sources currently underway in Europe. The Company believes that the changing energy demand in the market due to external and environmental factors is beneficial to the business. In order to generate resources for business development and growth, and because it is uncertain whether the warrants of series TO 1 will provide the Company with additional proceeds, the Board of Directors of the Company has decided to carry out the Rights Issue. Upon full subscription in the Rights Issue, the Company will receive proceeds of approximately SEK 25.5 million before issue costs.

Prospectus
The prospectus has been prepared in connection with the Rights Issue and has today, 8 September 2023, been approved and registered by the Swedish Financial Supervisory Authority. The Prospectus, containing complete terms and conditions, is available on the Company's and Nordic Issuing AB's respective websites (https://cleanindustrysolutions.com/en/investor-relations/rights-issue-2023/ and https://nordic-issuing.se). The prospectus will also be available on the Swedish Financial Supervisory Authority's website (www.fi.se). Information about subscription in the Rights Issue will be made available on the Company's and Nordic Issuing's website in connection with the start of the subscription period on 12 September 2023.

Preliminary schedule for the Rights Issue
•    12 - 21 September 2023 – Trading in subscription rights
•    12 - 26 September 2023 – Subscription period for the Rights Issue
•    12 September 2023 - Until the Rights Issue is registered with the Swedish Companies Registration Office - Trade in paid-up subscribed shares (BTA)
•    September 28, 2023 – Estimated date for publication of the outcome

Recalculation of warrants series TO 1
As a result of the Rights Issue, Clean Industry Solutions will, in accordance with the conditions for the issued warrants of series TO 1, carry out a recalculation partly of the subscription price when subscribing for shares through the exercise of warrants, partly of the number of shares that each warrant entitles to subscription. Final recalculation will be announced by the Company via press release before the exercise period for warrants of series TO 1 begins on October 26, 2023.
