Cinis Fertilizer’s nomination committee ahead of the 2024 Annual General Meeting

The composition of the nomination committee in Cinis Fertilizer AB is hereby announced ahead of the 2024 Annual General Meeting.

The nomination committee consists of the following members appointed by the largest shareholders, based on voting rights, as per 30 September 2023, as well as the Chairman of the Board:

  • Frederik Nilner, appointed by shareholder Jakob Liedberg (36.4% of votes and capital as of 30 September 2023)
  • Thomas Ranje, representing himself (15.5% of votes and capital as of 30 September 2023)
  • Morgan Sadarangani, appointed by shareholder Molindo Energy AB (3.5% of votes and capital as of 30 September 2023)
  • Roger Johansson, Chairman of the board

The nomination committee has been appointed in accordance with the instructions for the nomination committee adopted at the Annual General Meeting on 25 May 2022, pursuant to which the Chairman of the board has contacted the three largest owners as per 30 September 2023 and asked them whether they want to appoint a represent­tative to the company’s nomination committee. If a shareholder has declined to appoint a representative the next largest shareholder has been asked. The member who represents the largest shareholder in terms of votes, or the person the nomination committee otherwise appoints from within itself, is appointed chairman of the nomination committee.

The nomination committee is, among other things, expected to submit proposals to the Annual General Meeting with regards to the board’s composition, Chairman of the board, election of auditor, board and auditor fees, and chairman of the Annual General Meeting, in accordance with what is further stipulated in the Swedish Code of Corporate Governance.

Shareholders who wish to submit proposals to the nomination committee are welcome to contact the nomination committee via e-mail, [email protected]. Proposals shall be submitted in due time before the 2024 Annual General Meeting to ensure that the proposals can be considered by the nomination committee. Information about the location and date of the 2024 Annual General Meeting can be found in the interim report for January–September 2023 which will be published on 16 November 2023.
