BEWI – Exercise of options under share option programme, share capital increase and mandatory notifications of trade
Following the exercise of share options by option holders under BEWI ASA's (BEWI or the Company) share option programme, the board of directors has resolved to increase the Company's share capital by NOK 429,000, by the issuance of 429,000 new shares at a subscription price of NOK 24.06 per share (the Subscription Price), by use of the authorisation granted by the general meeting on 16 November 2020.
After the issuance of the new shares, the Company's share capital will be NOK 157,039,804, divided into 157,039,804 shares, each with a par value of NOK 1.00. By the share capital increase, BEWI has increased the total number of shares by approximately 0.27 per cent.
The following persons discharging managerial responsibilities (PDMRs) in the Company have exercised options under the share option programme at a strike price equivalent to the Subscription Price:
(i) Christian Bekken, CEO, has exercised 50,000 options;
(ii) Jonas Siljeskär, COO, has exercised 50,000 options;
(iii) Petra Brantmark, General Counsel, has exercised 25,000 options; and
(iv) Charlotte Knudsen, Director of IR and Communications has exercised 25,000 options.

Jonas Siljeskär and Petra Brantmark have transferred their rights to receive the new shares to a third party in return for a net sales proceed which will be finally determined on the basis of the market price subsequently obtained by the third party. The results of the sales process will be announced in a separate stock exchange notice.
The exercised options have been granted in accordance with the Company's share option programme described in the Company's latest annual financial statements.
