Alcadon Group has completed the acquisition of UK-based Networks Centre Holding Company Ltd and its subsidiaries in the UK and the Netherlands

As previously announced in a press release on 10 August 2022, the parties have entered into a binding transfer agreement with a scheduled closing date of 17 August 2022. Alcadon has today completed the acquisition of NWC.

The purchase price for the shares amounts to approximately GBP 26.6 million, consisting of GBP 20.8 million in cash plus an issue in kind of 987,694 shares in Alcadon corresponding to SEK 72,400,913. The number of shares in Alcadon Group increases to 20,612,823.

• The acquisition increases Alcadon's Cash Earnings per Share (Cash EPS) by approximately SEK 1.24, based on the number of shares after the completed rights issue calculated on the underlying results for the last twelve months as of 30 June 2022 and before synergies. The Group's net debt will increase by approximately SEK 380 million following the acquisition.
• In addition, an additional purchase price (Earn-Out) of maximum GBP 10 million in cash is paid depending on the development of NWC's EBITDA over the next 36 months.
