ACROUD AB (publ) (“Acroud” or the “Company”) has successfully completed the restructuring that was announced on 9 December 2024.
All shares issued pursuant to Acroud’s resolution on a new issue of shares resolved on at the extraordinary general meeting held on 24 January 2025, have been subscribed for, allotted to, and payed for in accordance with the notice convening the extraordinary general meeting. Upon registration of the new issue of shares with the Swedish Companies Registration Office, the following entities will thus hold the following ownership stakes in Acroud: RIAE Media Ltd, approximately 39 per cent; Strategic Investments A/S, approximately 9.5 per cent; SMD Group Ltd, approximately 9.3 per cent; PMG Group A/S, approximately 6.2 per cent; Nordic Sports Management ApS, approximately 2.1 per cent; and Double Down Media Ltd, approximately 0.8 per cent. In addition, holders of the Company’s bonds (the “Bondholders”) with ISIN SE0017562481 (the “Bonds”) will hold an ownership stake of approximately 23.4 per cent. The shares will be allotted to the Bondholders pro rata on the basis of total holdings on the record date on 7 February 2025. The total nominal amount of the Bonds is SEK 80,812,386 following the set-off against shares in an aggregate amount of SEK 70,000,114.
The Company’s super-senior bonds
Acroud has on 29 January 2025 issued super-senior bonds with ISIN SE0023615661. The total nominal amount of the super-senior bonds is SEK 65,312,500, which has been paid by a cash payment of SEK 26,125,000 and in an amount of SEK 39,187,500 by way of set-off against Bonds.
Delivery and the admittance for trading of the new shares
All new issued shares are expected to be registered with the Swedish Companies Registration Office on 17 February 2025. The shares are expected to be delivered and admitted to trading on Nasdaq First North Growth Market on 21 February 2025.
Changes in share capital and number of shares
Resolution was made at the Company’s extraordinary general meeting on 24 January 2025 to reduce the quota value to EUR 0.0038631 per share in order to enable the subscription price of SEK 0.25 per share in the Company’s new issue. As a result of this change and the new issue of shares, the share capital of Acroud will increase from EUR 4,366,824.859242 to EUR 4,624,171.801175. The total number of shares in Acroud will increase from 172,612,188 to 1,196,998,584.
