Katalysen Ventures closes fully subscribed warrant issue with strong backing from operational team
Today, Katalysen Ventures AB (publ) (“the Company”) can announce the successful closure of an issue of warrants, through which a total of 1’200’000 warrants will be issued, contributing a total of 3’744’000 SEK to the Company through option premiums. Participants include the Company’s operational team, with the CEO and Chairman subscribing for a total of 417'308 warrants worth approximately 1.3 MSEK in option premiums. There were no costs associated with the warrant issue.
The decision to issue warrants was taken by the Company’s shareholders at an extraordinary meeting of the shareholders on the 6th of September 2023. Through the warrant issue, a total of 1’200’000 warrants will be issued. Each warrant gives the holder the right to purchase one share at a strike price of SEK 14.9 before the 31st of August 2025. If all of these warrants are exercised, the total number of shares in the Company would increase from 6'924'185 to 8'124'185, and the share capital would increase from SEK 900'144.05 to 1'056'144.05.
The subscription price per warrant ("option premium") in the warrant issue is 3.12 SEK. This option premium was calculated using the Black-and-Scholes formula, and is based on the volume-weighted average price of the Company's share according to the official price list of Spotlight Market during the period from August 23, 2023, to September 5, 2023. The calculation is based on a volatility of 33% as proposed by the Company’s financial advisor.
In total, the warrant issue provides the company with SEK 3’744’000 in additional funding. Participants in the warrant issue include the Company’s operational team, including CEO Peter Almberg and Chairman Heinrich Weber. There were no costs associated with the warrant issue.
