Implementation of stock option program in SENS

Sustainable Energy Solutions Sweden Holding AB ("SENS" or the “Company") announces today that the stock option program decided by the annual general meeting on May 30, 2023, for a maximum of 30,000,000 stock options in SENS, has now been implemented. The stock options, which were directed to employees of the group, were acquired to 100 percent by key personnel within SENS, including the CEO.

According to the terms of the stock options, subscription of shares will be possible from October 1, 2026, to November 1, 2026. The terms of the stock option program further stipulate that each stock option entitles the holder to subscribe for one (1) new share in the Company for each one (1) stock option, at a subscription price of 0.20 SEK. Given the current number of shares in the Company, a full exercise of the options would lead to a dilution of a maximum of approximately 11 percent.
